1. Agreement & Acceptance of Terms

Welcome to DGson (Digital Soan). By accessing our website, purchasing our services, or hiring DGson for digital marketing, Meta/Google Ads management, web engineering, AI automation, or brand strategy, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please refrain from using our platform or services.

2. Scope of Agency Services

DGson provides professional digital growth services including but not limited to:

• E-Commerce Onboarding & Quick Commerce Setup (Amazon, Flipkart, Blinkit, Zepto, Flipkart Minutes).
• Lead Generation & Performance Advertising (Meta Ads, Google Search & Maps Ads, LinkedIn Ads).
• Web & Software Engineering (Next.js 14, React, Tailwind CSS, Custom Dashboards).
• AI Automation Systems (WhatsApp Chatbots, n8n/Make Workflows, Vector RAG Agents).
• Social Media Management, SEO Engine Optimization, and Brand Positioning.

3. Payment Terms & 18% GST Regulations

• GST Compliance: As per Indian tax regulations, an applicable 18% Goods and Services Tax (GST) is added to all agency management fees, website build packages, and service invoices.
• Ad Budget Clarity: Advertising budgets (paid directly to Meta, Google, or LinkedIn) are strictly separate from DGson's agency management fees. Ad networks charge an additional 18% GST directly on ad spend in India.
• Payment Schedules: Web development and branding projects require a 50% advance deposit prior to project commencement, with the remaining 50% due upon final approval before live deployment. Retainer plans (Ad Management, SEO, Social Media) are billed monthly in advance.
• Refund Policy: Due to the resource-intensive nature of custom code engineering, ad management setup, and creative design, advance deposits and management retainers are non-refundable once work has commenced.

4. Intellectual Property & Code Ownership

Upon receipt of full invoice payment, clients receive full ownership of custom website source code, visual branding assets, graphic design creatives, and custom AI prompt configurations created for their business. DGson retains the right to display completed projects in our portfolio and case study showcases unless an explicit Non-Disclosure Agreement (NDA) is executed.

5. Performance Disclaimers & Ad Platform Rules

While DGson employs battle-tested performance marketing strategies and AI automation engines, digital advertising results (Cost Per Lead, ROAS, Keyword Rankings) depend heavily on market dynamics, client product pricing, landing page offer appeal, and third-party algorithm changes (Meta, Google, Amazon).

DGson is not liable for account suspensions, ad disapprovals, or policy changes enforced independently by third-party ad networks (Meta, Google, WhatsApp API, Amazon).

6. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of India. Any legal disputes arising out of or in connection with DGson's services shall be subject to the exclusive jurisdiction of the courts located in Maharashtra, India.
